Article I. Name. This organization shall be known as the American Committee on Laboratory Animal Diseases, designated herein as ACLAD. Article II. Purpose. The primary purpose of ACLAD shall be to advance and communicate knowledge about diseases of laboratory animals for the benefit of laboratory animal science and comparative medicine. Article III. Membership. Members in good-standing shall be persons who support the purpose of ACLAD and who have fulfilled the financial obligations of membership. Article IV. Officers. ACLAD officers shall be elected by the membership and constitute the ACLAD Council. They shall be members in good-standing and consist of the President, the President-Elect, the Secretary, the Treasurer, and three Councilors, one of whom shall be the Immediate Past-President. Article V. Meetings. There shall be an Annual Meeting of the full membership. The Council shall meet as requested by the President. Article VI. Elections. Elections for officers shall be held annually. Terms for new officers shal begin on January 1 of the year immediately following their election. Article VII. By-Laws. By-laws shall be written to interpret and implement the Constitution. Article VIII. Enactment of the Constitution and By-Laws. The Constitution and By-Laws shall be enacted by majority vote of a quorum of the membership. Article IX. Amendment of the Constitution or By-Laws. The Constitution and By-Laws may be amended by majority vote of a quorum of the membership. Amendments shall be proposed by written petition to the President signed by at least 10 members in good-standings. Copies of the proposed amendment(s) shall be distributed to the membership at least 60 days before an Annual Meeting so that it (they) can be discussed at the Meeting and prior to balloting.
